Terms of Service
Summary: By using XLNT Events, you agree to these terms. We provide a marketplace for local live experiences; members create and attend events. You are responsible for your own events, interactions, and compliance with local laws.
1. Acceptance of Terms
By accessing or using the XLNT Events platform (“Service”), operated by XLNT Experiences, LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
2. Description of Service
XLNT Events is a community marketplace for local live experiences — small events created by members, for members. The Service enables members to create events, offer skills or spaces, discover experiences, manage RSVPs and ticketing, process payments, and build reputation.
XLNT is a platform, not an event organizer. We provide tools and infrastructure. Members are responsible for the events they create, run, contribute to, and attend.
3. Membership
3.1 Eligibility
You must be at least 18 years of age to become a member. By providing your date of birth during registration, you declare that the information is accurate. Providing false age information may result in account termination.
3.2 Account Responsibility
You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
3.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to keep it updated. This includes your name, email address, location, and any profile information you provide.
3.4 Email Communications
By providing your email address — whether during registration, when signaling interest in a feature, or when submitting any form of feedback — you consent to receive transactional emails from XLNT related to your activity. This includes account notifications, event confirmations, and acknowledgment of feedback you submit (feature signals, suggestions, bug reports, and support requests). These transactional messages are part of the Service and cannot be opted out of. Optional marketing communications can be managed in your account settings.
3.5 SMS Communications
By providing your mobile phone number to XLNT Events, you consent to receive transactional SMS messages from the XLNT Events SMS program, including:
- Identity-verification codes where a phone number is being confirmed (sign-in itself uses passkeys, not SMS codes)
- Booking confirmations and event reminders
- Schedule changes for events you have booked, organized, or are contributing to
- Payment receipts and contributor payout notifications
Message frequency varies based on your activity. Message and data rates may apply. Carriers (e.g., AT&T, T-Mobile, Verizon) are not liable for delayed or undelivered messages.
To opt out, Reply STOP to any message at any time. You will receive a confirmation message and no further SMS will be sent. Reply START to opt back in.

We do not sell, rent, or share your mobile phone number or SMS opt-in status with third parties for marketing purposes. See our Privacy Policy for details.
3.6 One Account Per Person
Each person may maintain only one account. Duplicate accounts may be merged or terminated.
4. Member Roles
Members may participate in multiple roles over time:
- Attendee: Browse, RSVP to, or purchase tickets for events created by other members
- Organizer / Event Creator: Create and organize events on the platform
- Contributor: Provide an offering for events across the four marketplace categories — Spaces, Culinary, Entertainment, or Services (music, cooking, bartending, planning, production, etc.)
- Space Provider: Offer a space (backyard, rooftop, studio, etc.) for events
Each role carries specific responsibilities described in these Terms and in our Community Guidelines.
5. Events
5.1 Event Creation
Organizers are responsible for the accuracy of event descriptions, pricing, capacity, and any other details. Events must comply with all applicable local laws, including permits, noise ordinances, and alcohol regulations.
5.2 Insurance
XLNT strongly recommends that Organizers carry event insurance appropriate to the event, the venue, and the activity. Obtaining it, and paying for it, is the Organizer’s responsibility.
XLNT does not sell insurance, does not broker it, and does not currently integrate with any insurance provider. We do not verify that any event is insured, and nothing on the platform should be read as confirming that it is. Where a Space provider or local law requires coverage, meeting that requirement is between the Organizer and that party.
5.3 Alcohol
Events involving alcohol service must comply with all applicable licensing requirements. Members may partner with licensed bartenders or caterers. BYOB events are permitted where local laws allow.
5.4 Events in the Works

- Organizers may optionally place an event “In the works” before publishing it as Live. While the event is in the works, the Organizer sets a viability threshold (minimum attendees or minimum revenue) and a deadline for meeting it.
- Members may show interest (free and non-binding) or back the event with a commitment. To commit, you save a payment method with XLNT and set the most you are willing to pay. Nothing is charged, and no money is held, while the event is in the works.
- If the event reaches its threshold and the Organizer confirms it, XLNT charges your saved payment method for your ticket at the event’s final price, and only if that price is at or below the amount you set. That charge is a ticket purchase, and Sections 8 and 9 apply to it. If the charge fails, we tell you and give you a short time to update your payment method; you are never charged twice for one commitment.
- If the threshold is not met by the deadline, or the Organizer does not confirm the event, no one is charged. Your saved payment method is released and there is nothing to refund.
- Organizers may publish decision points for members to help shape while the event is in the works (e.g., timing, entertainment options, culinary options). Member input is advisory — the Organizer makes all final decisions and is not bound by it. XLNT does not guarantee that the final event will match options presented while it was in the works.
- If the viability threshold is not met by the deadline, the event is automatically cancelled and returns to Draft status; the Organizer may modify the event and put it back in the works, or abandon it. Members who committed and interested members are notified automatically upon cancellation. XLNT is not liable for events that do not reach their viability threshold.
6. Spaces

6.1 Space Provider Responsibilities
- The Space provider is solely responsible for the accuracy of Space information (address, capacity, features, accessibility).
- The Space provider is responsible for the physical safety and code compliance of the Space.
- Layout definitions (and associated Spot capacities) must accurately represent the Space’s actual configuration and legal occupancy limits.
- The Space provider must maintain appropriate property insurance and liability coverage.
6.2 XLNT’s Role with Spaces
- XLNT does not inspect, verify, or certify Spaces listed on the platform.
- XLNT does not verify occupancy limits, safety equipment, or code compliance.
- Deactivated Spaces remain in the system for historical reference but are not available for new events.
7. Contributor Agreements

7.1 Agreement Structure
- All agreements between Organizers and Contributors (entertainers, culinary providers, planners, service providers) are between those parties directly.
- XLNT provides standardized agreement templates with non-negotiable terms (liability, cancellation, settlement timing, Code of Conduct, dispute resolution). Members do not create their own contracts.
- The negotiable portions of each agreement are: the Rate Card (amount, unit, scope description) and event-specific notes.
- XLNT facilitates the creation, negotiation, and execution of contributor agreements but is not a party to them.
- For business accounts, contributor agreements initiated by a Planner require approval from a Manager or Owner unless the Planner has been granted approval authority.
7.2 Rate Cards
- A Rate Card represents the cost agreed between an Organizer and a Contributor for an offering; XLNT does not set, negotiate, or guarantee contributor compensation.
- The Organizer bears the financial obligation for amounts agreed on a Rate Card. XLNT facilitates settlement calculations and payouts but is not financially liable for the underlying obligation between the parties.
7.3 One Agreement per Event
Each contributor agreement covers a single event. Settlement happens after that event, not as a lump sum across several.
If an Organizer and a Contributor work together repeatedly, that is a series of separate agreements, each negotiated and settled on its own. XLNT does not currently offer a single agreement spanning a recurring series, and nothing on the platform binds either party to future events.
8. Cancellation and Refunds

8.1 When a Ticket Is Refunded
Refunds on XLNT today are full refunds, in the two situations below. There is no graduated refund schedule and no partial refund.
- The Organizer makes a material change. If an Organizer materially changes a published event — for example its date, time, or location — attendees are notified and given a window in which to request a full refund. Requesting one within that window is a right; you do not need the Organizer’s agreement.
- The Organizer cancels the event. Every attendee is refunded in full. See Section 8.5.
When refunds can be requested. A refund request must reach us by the release date for the event: three days after the event ends, or nine days after a host’s first paid event. Until the release date the money for the event is held and a refund comes out of it. After the release date the money has been paid out; a refund is then the Organizer’s decision, and if they grant it, the amount is recovered from the Organizer under Section 9.5.
Outside those two situations, a ticket purchase is not automatically refundable — including simply changing your mind. An Organizer may choose to refund you, and XLNT can facilitate it, but nothing in these Terms obliges them to. Buy accordingly.
8.2 Attendee-Initiated Cancellation
- You may release a free RSVP at any time, which returns your place to the event.
- For a paid ticket, releasing your place does not by itself entitle you to a refund. Section 8.1 governs when money comes back.
8.3 Contributor Cancellations
- A Contributor who withdraws from an event they have agreed to is responsible to the Organizer under the terms of their agreement.
- XLNT does not guarantee any Contributor’s attendance and is not financially liable when one withdraws.
- Withdrawals are recorded and may affect the Contributor’s standing on the platform (Section 8.4).
8.4 Trust and Reputation Impact
- Cancellations within the no-refund window by either party (Organizer or Contributor) are recorded and may impact the cancelling party’s reputation score.
- A pattern of late cancellations may trigger a platform review of the member’s account.
- XLNT does not penalize cancellations made within the refund window — these are normal marketplace activity.
- A member with an unrecovered amount under Section 9.5 may not publish a new paid event until it is settled.
8.5 Event Cancellation by Organizer
- If an Organizer cancels an entire event, every attendee is refunded in full.
- Contributor obligations are governed by each contributor’s individual Rate Card cancellation terms.
- XLNT facilitates the refund process but is not financially liable for refunds — the Organizer bears the financial obligation.
8.6 Age-Restricted Events and Entry Refusal
Some events are restricted to attendees 21 or older. For those events:
- XLNT does not verify anyone’s age. You confirm you meet the age requirement when you book. That confirmation is your declaration, recorded with the date and time. XLNT performs no independent verification and does not represent to anyone that your age has been checked by us.
- The venue checks a physical, government-issued ID at the door. This is the check that actually controls entry, performed by the licensee under the licence they hold.
- The name on your ticket must match the ID you present. Tickets are bound to the member who booked them, so use your legal name as it appears on your ID when you register.
If you are refused entry because the age or name you gave does not match your ID, your ticket is not refunded. Your place was held, withdrawn from sale, and staffed for. That cost was incurred and cannot be recovered by the Organizer or the Contributors after the fact.
For the same reason, an entry refusal does not reduce what the Organizer or any Contributor is paid. They are settled for that attendance as though you had attended.
This is a specific exception to the refund rules in Sections 8.1 through 8.3, which govern cancellations and changes that happen before the event. It is not a cancellation — it is a decision made at the door about entry — and it does not create a refund right under those rules.
If an event is cancelled by the Organizer, Section 8.5 applies as normal regardless of any age restriction.
8.7 Tickets Are Bound to You
- A ticket or RSVP is tied to the member who holds it and is not transferable. You may not sell, resell, auction, or trade a place at an event, and you may not hand your ticket to someone else to use.
- Where you acquire more than one place, the additional places are assigned to named people who claim them with their own XLNT account. A place that has not yet been claimed can be re-addressed or reclaimed by you; once someone has claimed it, it belongs to them.
- Because places are bound to people, the name on your ticket must be your own. See Section 8.6 for what that means at an age-restricted door.
XLNT does not operate a resale market and does not recognize any place acquired outside the platform. Attempting to resell a place is a violation of these Terms (Section 10.2).
9. Payments and Fees
9.1 Platform Fees
XLNT charges marketplace fees as defined in the Pricing Schedule associated with your account and displayed at the point of transaction. The Pricing Schedule specifies buyer-side and supplier-side fees. XLNT absorbs payment processing costs; no processing fee line item appears on member transactions.
9.2 Contributor Payouts
All payouts to contributors are processed through Stripe Connect. Contributors must set up a Stripe Connect account to receive payments. Ticket money is held until the release date (three days after the event ends; nine days after a host’s first paid event) and then paid out under the split agreed before the event. Early backing a host has received sits in the host’s own Stripe account and is released on the same date.
9.3 Taxes
Each member is responsible for reporting and paying their own taxes — sales tax, income tax, and any other applicable taxes. XLNT is a marketplace, not an employer. We provide transaction records and annual summaries to assist with filing.
9.4 Food, Beverage, and Merchandise
XLNT does not take any cut of food, beverage, or merchandise sold at events. That revenue is 100% yours.
9.5 Chargebacks, post-release refunds, and recovery
If a payment for your event is charged back by the cardholder’s bank, or a refund is granted after the release date, the amount and any bank fee are your cost as the member who was paid for it, in the proportion of the split you received. We recover it in this order:
- Offset. From your next settlement on XLNT, before it is paid out.
- Your guarantee card. If no settlement covers it within 30 days, we charge the card you saved as your host guarantee, up to the amount owed.
- Demand. If any amount remains, you agree to reimburse us on demand within 14 days.
We tell you each time one of these happens, with the event, the amount and the reason. A chargeback we win is not your cost. Nothing here applies to an attendee, whose refund rights are in Section 8.
10. Content Moderation and Community Guidelines
10.1 Community Standards
All members agree to follow our Community Guidelines, which are incorporated into these Terms by reference. Members must treat other members, Organizers, Contributors, and Space Providers with respect and courtesy.
10.2 Prohibited Activities
Members may not:
- Harass, intimidate, or discriminate against others
- Share event details, locations, or member information without consent
- Use the Service for any unlawful purpose
- Create fraudulent events, profiles, or reviews
- Attempt to circumvent platform fees or payment systems
- Sell, resell, auction, or trade a place at an event (Section 8.7)
- Attempt to gain unauthorized access to the Service or other member accounts
- Scrape, crawl, or collect data from the Service without permission
10.3 Your Content
You retain ownership of content you create (event descriptions, photos, reviews, profile information). By posting content on the Service, you grant us a non-exclusive, royalty-free license to use, display, and distribute that content in connection with operating the Service.
10.4 Your Media, and How It Can Be Challenged
Photos and videos you add live in your media library. From there you choose where each item appears — your profile, an offering, an event. Removing an item from one of those places leaves it in your library; archiving or deleting it in the library removes it everywhere it was shown.
Anyone can raise a concern about a piece of media, including someone who does not have an XLNT account. That matters because the person most likely to object to a photo is often the person in it.
When a concern is raised:
- We may place a warning over the item while it is looked at. A warning is not a deletion — the item stays where it is, and a viewer can choose to see it. The owner is told when their item carries one.
- Where an item is displayed on an event, the people responsible for that event are notified and given a period in which to respond. If nobody responds, the matter escalates rather than expiring.
- XLNT may remove media outright where it violates these Terms, our Community Guidelines, or the law.
None of this makes XLNT the reviewer of everything posted. We do not pre-screen media, and a warning or a removal is not a judgment about any person.
10.5 Copyright
If you believe media on XLNT infringes your copyright, contact us at help@xlnt.events with enough detail to identify the work and where it appears. We will investigate and may remove the material. Repeat infringers may lose their accounts.

10.6 Our Content
All platform content, design, branding, and materials are the property of XLNT Experiences, LLC, or its licensors and are protected by applicable intellectual property laws.
10.7 Ratings

After an event, attendees who actually attended are invited to rate the Contributors whose offerings they experienced. Ratings must be honest and based on genuine participation; XLNT only accepts a rating from a confirmed attendee of that event, and a rating window closes some time after the event.
- Contributor ratings feed an aggregate score shown on that Contributor’s profile. A Contributor can see their own aggregate.
- Ratings cannot be transferred, sold, or artificially inflated. Fraudulent, retaliatory, or abusive ratings may be removed and may result in enforcement action.
- Upon a valid data-deletion request, the rater’s identity is anonymized while the rating itself persists, tied to an anonymized Member ID.
XLNT does not currently operate a public written-review system, a rated party’s right of reply, or a private supply-side rating of Organizers by Contributors. If we introduce any of those, these Terms will be updated first.
11. Identity and Data
11.1 Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We never sell your personal data.

11.2 Member Identity Model
- Each member has a Member ID (platform identity for transactions, behavioral data, and platform intelligence) and a Principal ID (real-world identity with personally identifiable information).
- Personal information is stored in a secure vault and accessed only via controlled pathways with audit logging.
11.3 GDPR and Data Deletion
- Members may request deletion of their personal data in accordance with applicable data protection laws (GDPR, CCPA).
- Upon a valid deletion request, the Principal (personal information) is disconnected from the Member record. The Member record persists in anonymized form to support platform intelligence, transaction history, and attendee records.
- Transaction records are retained as required by financial regulations and legitimate business interest.
11.4 Business Entity Verification
- XLNT verifies business entities once to confirm they represent real, registered businesses. This verification is not an endorsement of the business, its offerings, or its events.
- Verified businesses may publish events, manage spaces, and engage contributors without further platform approval.
12. Disclaimer and Limitation of Liability
12.1 Marketplace Disclaimer
XLNT is a platform that connects members. We do not organize, produce, or control events. We are not responsible for the actions of any member, the quality of any event, or any interaction between members.
12.2 No Warranty
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.
12.3 Limitation of Liability
To the fullest extent permitted by law, XLNT Experiences, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to personal injury, property damage, lost revenue, or any damages arising from events organized through the platform.
13. Indemnification
You agree to indemnify and hold harmless XLNT Experiences, LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another person.
14. Dispute Resolution
14.1 Between Members
Disputes between members (including payment disputes, event issues, and review disagreements) should first be resolved directly between the parties. We may facilitate resolution but are not obligated to do so.
14.2 With XLNT
Any dispute with XLNT Experiences, LLC shall first be addressed through informal negotiation by contacting us at support@xlnt.events. If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of California.
15. Termination
15.1 By You
You may close your account at any time. Outstanding payment obligations survive account closure.
15.2 By Us
We may suspend or terminate your account for conduct that violates these Terms or our Community Guidelines, is harmful to other members, or is otherwise detrimental to the Service. We will provide notice when practicable.
16. Modifications
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service, updating the “Last Updated” date, and sending email notification for significant changes. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
17. General
17.1 Governing Law
These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17.3 Entire Agreement
These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and XLNT Experiences, LLC regarding the Service.
These Terms of Service are effective as of June 26, 2026.
